REFUND POLICY:

FROM THE TIME OF INITIAL PURCHASE OF A MEMBERSHIP EDI PROVIDES A 15 DAY UNCONDITIONAL MONEY BACK GUARANTEE.

AN ANNUAL ADMINISTRATIVE FEE OF $49 WILL BE CHARGED ON ALL ACTIVE MEMBERSHIPS STARTING IN YEAR 2. EDI WILL PROVIDE A 30 DAY NOTICE BEFORE APPLYING THIS CHARGE.

The following Terms and Conditions control your membership in the EDI International Singles and Social Networking Community (EDI) program. You agree that you have read and understand this Agreement ("Agreement") and that your membership in the (EDI) program shall be subject to the following Terms and Conditions between you (the "Member") and EDI. These Terms and Conditions may be modified at any time by EDI. Please review them from time to time since your ongoing use is subject to the terms and conditions as modified. Your continued participation in EDI after such modification shall be deemed to be your acceptance of any such modification. If you do not agree to these Terms and Conditions, please do not register to become a member of EDI.

Terms of Participation

Member must be 18 years of age or older to participate. Members must provide EDI with accurate, complete and updated registration information, including an accurate name, identification number, mailing address, phone number and email address.

To the full extent allowed by applicable law, EDI at its sole discretion and for any or no reason may refuse to accept applications for membership.

Members may not (i) activate or use more than one Member account; (ii) select or use a Email Address of another person; (iii) use a name subject to rights of another person without authorization from that person; (iv) use a false or misleading name, mailing address, or email address to activate or use a Member account.

By signing up for the EDI program, Member is opting-in to receive other special offer emails from EDI. If you do not wish to receive these emails, you may cancel your account anytime.

EDI reserves the right to track Member's activity by both IP Address as well as individual browser activity.

EDI has the right, at its sole discretion, to suspend or cancel, at any time and for any or no reason, a Member's membership in and access to the EDI Affiliate Website and the EDI program. All Earnings can be cancelled, and the Member may be referred to appropriate law enforcement agencies if such action is deemed warranted by EDI.

Member agrees not to abuse his or her membership privileges by acting in a manner inconsistent with this Agreement. Member agrees not to attempt to earn through other than legitimate channels authorized by EDI. Member agrees not to participate in any fraudulent or illegal behavior of any kind.

EDI, at its sole discretion decides the definition of abuse, fraud, or violation of its rules. Any decision EDI makes relating to the cancellation of Earnings and the termination of membership shall be final and binding.

Member understands that the only form of payment accepted for membership is credit card, debit card or by the members ALERTPAY Account. TO RECEIVE PAYMENTS OR COMPENSATION FROM EDI, A MEMBER IS RQUIRED TO HAVE AN ALERTPAY ACCOUNT.

Spamming is strictly prohibited. Any spamming done to advertise EDI will result in immediate termination of your account and a forfeiture of your account balance. Incidents will be dealt with on a case by case basis.

Member's discontinued participation in the EDI program or failure to notify EDI of any address (mailing or email) changes may result in the termination of Member's membership and forfeiture of Member's unredeemed Earnings.

Member understands that there will be NO cross line recruiting or changes allowed. If a member chooses to resign he or she may not re-enroll for a period of 6 months from the initial enrollment date. Any cross line recruitment will be grounds for termination.

Member shall comply with all laws, rules, and regulations that are applicable to the EDI Membership. Member acknowledges that Member may only participate in the EDI program if and to the extent that such participation is permitted by such laws, rules, and regulations.

If member objects to any of the Terms and Conditions of this Agreement, or any subsequent modifications to this agreement, or becomes dissatisfied with the Program, Member's only recourse is to immediately discontinue participation in the EDI program and properly terminate his or her membership.

Compensation

Member understands that based on the level of membership he or she voluntarily chooses that he or she can qualify for Direct commissions, Matrix income and Matching Bonuses and that the enhancements of compensation will require higher levels of training responsibility and leadership accountability.

Member understands that he or she will receive a 60% commission on first, second and third month on paid membership revenues from personally referred members. Starting in month four recurring revenue of 6% per month through 10 generations will be paid on active paying memberships.

Member understands that there is a 15 day money-back guarantee and that commissions will not be credited to the affiliates account until the 20th day following the transaction.

Member understands that the pay dates for Direct commissions are on the 5th and the 20th. Commission cutoff dates are the 1st and the 15th of the month. Commissions earned after the 1st will be paid on the 20th and commissions earned after the 15th will be paid on the 5th. Matrix income will have a cutoff date of the last day of the month and commissions will be paid on the 20th of the following month.

Member understands that Matrix income and Matching bonus checks are paid on the 10th of the month and that the first matrix income check will be paid on the 10th following the second full month of participation.

Member understands that he or she can join EDI for free on a Bronze Membership for 12 month and during this time IS NOT eligible to earn commission. To earn commissions a member must upgrade to a Silver, Gold, Platinum or Diamond Membership.

Member understands that the Bronze Membership is NOT eligible for ANY commissions.

Member understand that EDI pays all commissions EXCLUSIVELY though ALERTPAY.COM and that ALL members must have an ALERTPAY account to receive commissions. Member must provide the ALERTPAY email address in the member profile section (7) seven days prior to a commission report being generated by EDI.

Member understand that EDI can make changes to this compensation plan with 30 days written or electronic notice to the member.

Member understands that all commission and sales activity is tracked in the back office of their affiliate website and that a $25 minimum threshold is the default setting for all commission payments. EDI WILL NOT ISSUE A COMMISSION PAYMENT THAT IS LESS THAN $25.

Member understands that this is a month to month membership and that they can cancel at anytime.

Disclaimers

MEMBER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT MEMBER'S SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, EDI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED BY LAW, CUSTOM OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. EDI MAKES NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE PROGRAM OR ANY TRANSACTIONS ENTERED INTO THROUGH THE PROGRAM.

TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, NEITHER EDI NOR ANY OF ITS MEMBERS, SUBSIDIARIES, PUBLISHERS, SERVICE PROVIDERS, LICENSORS, OFFICERS, DIRECTORS OR EMPLOYEES SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT, RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES OR RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE PROGRAM OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF USER'S TRANSMISSIONS OR DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To prevent unauthorized access, maintain data accuracy, and ensure the correct use of information, EDI uses appropriate industry standard procedures to safeguard the confidentiality of Member's personal information, such as firewall, encryption, token authentication, application proxies, monitoring technology, and adaptive analysis of the Website's traffic to track abuse of the EDI Website and its data. However, no data transmitted over the Internet can be 100% secure. As a result, while EDI strives to protect its Members personal information, EDI cannot guarantee the security of any information that Members transmit to or from the participating advertisers/merchants and Member does so at his/her own risk.

This Agreement constitutes the entire Agreement between Member and EDI in connection with general membership in the EDI program and supersedes all prior agreements between the parties regarding the subject matter contained herein. If any provision of this AGREEMENT is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of this AGREEMENT will remain in force. No failure of either party to exercise or enforce any of its rights under this AGREEMENT will act as a waiver of such rights.

Terms of Use of Website

The following terms and conditions govern all use of the EDI International, Inc website and all content, services and products available at or through the website. The Website is owned and operated by EDI International, Inc., ("EDI") The Website is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, EDI's Privacy Policy) and procedures that may be published from time to time on this Site by EDI (collectively, the “Agreement”).

Please read this Agreement carefully before accessing or using the Website. By accessing or using any part of the web site, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services. If these terms and conditions are considered an offer by EDI, acceptance is expressly limited to these terms. The Website is available only to individuals who are at least 18 years old.

  1. Your contributions to the EDI International, Inc Site. If you create a comment or contribute to the Website, you are responsible for maintaining the security of your account and any information that you contribute, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with your contributions. You must not describe or assign keywords to your posted information in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others, and EDI may change or remove any description or keyword that it considers inappropriate or unlawful, or otherwise likely to cause EDI liability. You must immediately notify EDI of any unauthorized uses of your posted information, your account or any other breaches of security. EDI will not be liable for any acts or omissions by You, including any damages of any kind incurred as a result of such acts or omissions.

  2. Responsibility of Contributors. If you are a contributor, comment on a blog, post material to the Website, post links on the Website, or otherwise make (or allow any third party to make) material available by means of the Website (any such material, “Content”), You are entirely responsible for the content of, and any harm resulting from, that Content. That is the case regardless of whether the Content in question constitutes text, graphics, an audio file, or computer software. By making Content available, you represent and warrant that:

    • the downloading, copying and use of the Content will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;

    • if your employer has rights to intellectual property you create, you have either (i) received permission from your employer to post or make available the Content, including but not limited to any software, or (ii) secured from your employer a waiver as to all rights in or to the Content;

    • you have fully complied with any third-party licenses relating to the Content, and have done all things necessary to successfully pass through to end users any required terms;

    • the Content is not spam, is not machine- or randomly-generated, and does not contain unethical or unwanted commercial content designed to drive traffic to third party sites or boost the search engine rankings of third party sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing);

    • the Content is not pornographic except in instances where is permitted by contract, does not contain threats or incite violence towards individuals or entities, and does not violate the privacy or publicity rights of any third party;

    • your posting is not getting advertised via unwanted electronic messages such as spam links on newsgroups, email lists, other blogs and web sites, and similar unsolicited promotional methods;

    • your posting is not named in a manner that misleads your readers into thinking that you are another person or company. For example, your posting’s URL or name is not the name of a person other than yourself or company other than your own; and

    • you have, in the case of Content that includes computer code, accurately categorized and/or described the type, nature, uses and effects of the materials, whether requested to do so by EDI or otherwise.

  3. By submitting Content to EDI for inclusion on our Website, you grant EDI a world-wide, royalty-free, and non-exclusive license to reproduce, modify, adapt and publish the Content solely for the purpose of displaying, distributing and promoting your blog. If you delete Content, EDI will use reasonable efforts to remove it from the Website, but you acknowledge that caching or references to the Content may not be made immediately unavailable.

    Without limiting any of those representations or warranties, EDI has the right (though not the obligation) to, in EDI’s sole discretion (i) refuse or remove any content that, in EDI’s reasonable opinion, violates any EDI policy or is in any way harmful or objectionable, or (ii) terminate or deny access to and use of the Website to any individual or entity for any reason, in EDI’s sole discretion. EDI will have no obligation to provide a refund of any amounts previously paid.

  4. Fees and Payment. Optional premium paid services may be offered from time to time by EDI. When these premium services become available, by selecting a premium service you agree to pay EDI the monthly or annual subscription fees indicated for that service. Payments will be charged on the day you sign up for a premium service and will cover the use of that service for a monthly or annual period as indicated.

  5. VIP Services. – Note, no VIP services are currently available. When they become available they will be subject to the following conditions:

    • Fees; Payment. By signing up for a VIP Services account you agree to pay EDI the setup fees if any and a monthly fee will apply. Applicable fees will be invoiced starting from the day your VIP Services are established and in advance of using such services. EDI reserves the right to change the payment terms and fees upon thirty (30) days prior written notice to you. VIP Services can be canceled by you at anytime on 30 days written notice to EDI.

    • Support. With VIP Services “Priority” means that support for VIP Services customers takes priority over support for users of the standard, free EDI International, Inc services. All VIP Services support will be provided in accordance with EDI standard VIP Services practices, procedures and policies.

  6. Responsibility of Website Visitors. EDI has not reviewed, and cannot review, all of the material, including computer software, posted to the Website, and cannot therefore be responsible for that material’s content, use or effects. By operating the Website, EDI does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. The Website may contain content that is offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors. The Website may also contain material that violates the privacy or publicity rights, or infringes the intellectual property and other proprietary rights, of third parties, or the downloading, copying or use of which is subject to additional terms and conditions, stated or unstated. EDI disclaims any responsibility for any harm resulting from the use by visitors of the Website, or from any downloading by those visitors of content there posted.

  7. Content Posted on Other Websites. We have not reviewed, and cannot review, all of the material, including computer software, made available through the websites and webpages to which EDI links, and that link to EDI. EDI does not have any control over those websites and webpages, and is not responsible for their contents or their use. By linking to a website or webpage, EDI does not represent or imply that it endorses such website or webpage. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. EDI disclaims any responsibility for any harm resulting from your use of other websites and webpages.

  8. Copyright Infringement and DMCA Policy. As EDI asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by EDI violates your copyright, you are encouraged to notify EDI in accordance with EDI’s Digital Millennium Copyright Act (“DMCA”) Policy. EDI will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. In the case of a visitor who may infringe or repeatedly infringes the copyrights or other intellectual property rights of EDI or others, EDI may, in its discretion, terminate or deny access to and use of the Website. In the case of such termination, EDI will have no obligation to provide a refund of any amounts previously paid to EDI.

  9. Intellectual Property. This Agreement does not transfer from EDI to you any EDI or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with EDI. EDI, EDI, the EDI logo, and all other trademarks, service marks, graphics and logos used in connection with EDI, or the Website are trademarks or registered trademarks of EDI or EDI’s licensors. Other trademarks, service marks, graphics and logos used in connection with the Website may be the trademarks of other third parties. Your use of the Website grants you no right or license to reproduce or otherwise use any EDI or third-party trademarks.

  10. Changes. EDI reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. EDI may also, in the future, offer new services and/or features through the Website (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

  11. Termination. EDI may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your EDI account (if you have one), you may simply discontinue using the Website. Notwithstanding the foregoing, if you have a VIP Services account, such account can only be terminated by EDI if you materially breach this Agreement and fail to cure such breach within thirty (30) days from EDI’s notice to you thereof; provided that, EDI can terminate the Website immediately as part of a general shut down of our service. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

  12. Disclaimer of Warranties. The Website is provided “as is”. EDI and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither EDI nor its suppliers and licensors, makes any warranty that the Website will be error free or that access thereto will be continuous or uninterrupted. If you’re actually reading this, here’s a treat. You understand that you download from, or otherwise obtain content or services through, the Website at your own discretion and risk.

  13. Limitation of Liability. In no event will EDI, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to EDI under this agreement during the twelve (12) month period prior to the cause of action. EDI shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

  14. General Representation and Warranty. You represent and warrant that (i) your use of the Website will be in strict accordance with the EDI Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside) and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party.

  15. Indemnification. You agree to indemnify and hold harmless EDI, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Website, including but not limited to your violation of this Agreement.

  16. Miscellaneous. This Agreement constitutes the entire agreement between EDI and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of EDI, or by the posting by EDI of a revised version. Except to the extent applicable law, if any, provides otherwise, this Agreement, any access to or use of the Website will be governed by the laws of the state of Nevada, U.S.A., excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the state and federal courts located in Reno, Nevada. Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought in any competent court without the posting of a bond), any dispute arising under this Agreement shall be finally settled in accordance with the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. (“JAMS”) by three arbitrators appointed in accordance with such Rules. The arbitration shall take place in Reno, Nevada, in the English language and the arbitral decision may be enforced in any court. The prevailing party in any action or proceeding to enforce this Agreement shall be entitled to costs and attorneys’ fees. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may assign your rights under this Agreement to any party that consents to, and agrees to be bound by, its terms and conditions; EDI may assign its rights under this Agreement without condition. This Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.

Privacy Policy

Your privacy is critically important to us. At EDI International, Inc (“EDI”) we have a few fundamental principles:

  • We don’t ask you for personal information unless we truly need it. (We can’t stand services that ask you for things like your gender or income level for no apparent reason.)

  • We don’t share your personal information with anyone except to comply with the law, develop our products, or protect our rights.

  • We don’t store personal information on our servers unless required for the on-going operation of one of our services.

  • In our products, we aim to make it as simple as possible for you to control what’s visible to the public, seen by search engines, kept private, and permanently deleted.

EDI operates several websites including EDI International, Inc, and others to be added. It is EDI’s policy to respect your privacy regarding any information we may collect while operating our websites.

Website Visitors

Like most website operators, EDI collects non-personally-identifying information of the sort that web browsers and servers typically make available, such as the browser type, language preference, referring site, and the date and time of each visitor request. EDI International, Inc purpose in collecting non-personally identifying information is to better understand how EDI’s visitors use its website. From time to time, EDI may release non-personally-identifying information in the aggregate, e.g., by publishing a report on trends in the usage of its website.

EDI also collects potentially personally-identifying information like Internet Protocol (IP) addresses for logged in users and for users leaving comments on blogs, chat rooms and forums. EDI only discloses logged in user and commenter IP addresses under the same circumstances that it uses and discloses personally-identifying information as described below, except that blog commenter IP addresses are visible and disclosed to the administrators of the blog where the comment was left.

Gathering of Personally-Identifying Information

Certain visitors to EDI’s websites choose to interact with EDI in ways that require EDI to gather personally-identifying information. The amount and type of information that EDI gathers depends on the nature of the interaction. For example, we ask visitors who sign up for a blog at EDI to provide a username and email address. Those who engage in transactions with EDI – you will be asked to provide additional information, including as necessary the personal and financial information required to process those transactions. In each case, EDI collects such information only insofar as is necessary or appropriate to fulfill the purpose of the visitor’s interaction with EDI. EDI does not disclose personally-identifying information other than as described below. And visitors can always refuse to supply personally-identifying information, with the caveat that it may prevent them from engaging in certain website-related activities.

Aggregated Statistics

EDI may collect statistics about the behavior of visitors to its websites. For instance, EDI may monitor the most popular blogs on the EDI.com site or use spam screened by an anti-spam service to help identify spam. EDI may display this information publicly or provide it to others. However, EDI does not disclose personally-identifying information other than as described below.

Protection of Certain Personally-Identifying Information

Comments and other content submitted to our anti-spam service are not saved on our servers unless they were marked as false positives, in which case we store them long enough to use them to improve the service to avoid future false positives.
